1. Acceptance of Terms

By accessing or using Swapace ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including aircraft owners, fleet operators, and maintenance personnel.

2. Description of Service

Swapace provides AI-powered aircraft logbook analysis, maintenance tracking, and fleet management tools. The Service allows users to upload aircraft logbook PDFs, receive AI-generated summaries and analysis, ask questions about maintenance history, and manage aircraft maintenance schedules.

3. Not a Substitute for Professional Advice

IMPORTANT: Swapace is an informational tool only.

The AI-generated analysis, summaries, reports, and answers provided by Swapace are for informational purposes only and do not constitute:

• Certified airworthiness determinations
• FAA-approved maintenance records or documentation
• Legal advice regarding aircraft compliance
• A substitute for inspection by a certified A&P mechanic or IA

Always consult qualified aviation professionals and refer to official FAA records before making any maintenance, airworthiness, or purchase decisions. Swapace does not warrant the accuracy, completeness, or fitness for any particular purpose of AI-generated output.

4. Eligibility

You must be at least 18 years old to use the Service. By using Swapace, you represent that you meet this requirement and have the authority to enter into these Terms on behalf of yourself or your organization.

5. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@swapace.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

6. Uploaded Content

You retain ownership of any logbook files and data you upload to Swapace. By uploading content, you grant us a limited, non-exclusive license to process that content for the purpose of providing the Service to you.

You represent that you have the right to upload any content you submit, and that your content does not violate any law or third-party rights. Do not upload files containing personally identifiable information about third parties without their consent.

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of FAA regulations.
• Attempt to reverse-engineer, scrape, or circumvent any part of the Service.
• Submit false, misleading, or fraudulent logbook data.
• Use AI-generated output as official aviation records or documentation.
• Share your account credentials with others.
• Interfere with the security or integrity of the Service.

8. Payments and Subscriptions

Certain features require payment. All payments are processed by Stripe. By providing payment information, you authorize us to charge you the applicable fees.

• One-time reports are non-refundable once the report has been generated.
• Monthly subscriptions renew automatically each month. You may cancel at any time through your billing dashboard; access continues until the end of the current billing period.
• Annual subscriptions are billed upfront and are non-refundable after 30 days from purchase.

We reserve the right to change pricing with 30 days' notice to existing subscribers.

9. Intellectual Property

The Swapace platform, including its software, design, branding, and AI models, is owned by Swapace and protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of or rights to the platform itself beyond what is necessary to use the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWAPACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING ANY RELIANCE ON AI-GENERATED ANALYSIS FOR AVIATION DECISIONS. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Swapace and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice in the platform. Continued use after the effective date constitutes acceptance of the revised Terms.
